GalleryMint — Limited-Edition Digital Art

1. Acceptance of Terms

By downloading, installing, or using the GalleryMint application ("the App") or any related services, you agree to be bound by these Terms of Service. If you do not agree, do not use the App.

2. Description of Service

GalleryMint is a digital art collection application that allows users to collect limited-edition NFTs from independent artists at art fairs, galleries, and other venues. Each edition is a CashToken NFT minted on the Bitcoin Cash blockchain, verified by NFC hardware authentication.

3. User Accounts and Wallets

The App automatically creates a self-custodial Bitcoin Cash wallet on your device.
You are solely responsible for safeguarding your 12-word seed phrase. We cannot recover lost seed phrases.
You are responsible for all activity conducted through your wallet.
We do not hold, control, or have access to your wallet, seed phrase, or NFT editions.

4. Edition Collection

Editions can only be collected by tapping an authorized GalleryMint NFC card with your phone.
Each tap is authenticated using hardware-level cryptography on the NFC card.
Edition collection is limited to one edition per artwork per wallet within a specified time period.
Editions are minted as immutable CashToken NFTs on the Bitcoin Cash blockchain and cannot be altered or deleted once created.

5. NFT Ownership

Editions collected through the App are your property. You may hold, transfer, trade, or sell them.
We make no guarantees regarding the monetary value of any edition.
Ownership of an edition NFT does not grant any intellectual property rights to the GalleryMint brand, designs, or trademarks.

6. Artwork Licensing and Intellectual Property

Artist Rights: Artists retain full copyright and intellectual property ownership of any artwork they upload to GalleryMint. Uploading artwork to the platform does not transfer any ownership or IP rights to GalleryMint or to any third party.

Collector License: When you collect an edition NFT, you receive a limited, non-exclusive, non-transferable license to:

Display the artwork for personal, non-commercial purposes
Share images of the artwork on social media or in personal collections
Resell or transfer the NFT itself, at which point the license transfers to the new owner

Collecting an edition does not grant you the right to:

Reproduce, print, or manufacture physical copies of the artwork
Use the artwork for commercial purposes, including merchandise, advertising, or branding
Create derivative works based on the artwork
Claim authorship of or copyright over the artwork

Platform License: By uploading artwork to GalleryMint, artists grant GalleryMint a non-exclusive, royalty-free license to display, reproduce, and distribute the artwork within the app, on the GalleryMint website, and in promotional materials for the purpose of operating and marketing the platform. This license does not transfer ownership and terminates if the artist removes their artwork from the platform.

7. Blockchain Data

Data recorded on the Bitcoin Cash blockchain (including timestamps and wallet addresses) is permanent and publicly accessible.
You acknowledge and consent to this permanent recording when collecting editions.
We are not responsible for blockchain network fees, delays, or disruptions.

8. For Artists

Artists may purchase GalleryMint NFC cards to sell digital editions of their artwork.
Cards are sold with a set number of edition credits. Once credits are depleted, additional credits may be purchased.
Artists are responsible for the physical security of their NFC cards.
GalleryMint reserves the right to revoke cards or suspend artist accounts that are found to be misused.
Artwork and metadata uploaded by the artist must be accurate and not misleading.

9. Prohibited Conduct

You agree not to:

Attempt to forge, spoof, or fabricate NFC authentication data
Clone, duplicate, or tamper with GalleryMint NFC cards
Use the App for any illegal purpose
Attempt to disrupt, hack, or compromise the App, API, or blockchain infrastructure
Misrepresent your identity

10. Intellectual Property

The GalleryMint name, logo, edition designs, app design, and all related intellectual property are owned by Digital Art and Currency Group. You may not use our branding without written permission.

11. Disclaimer of Warranties

The App is provided "as is" without warranties of any kind. We do not guarantee uninterrupted service, error-free operation, or that editions will maintain any particular value. The Bitcoin Cash blockchain operates independently and we are not responsible for its performance.

12. Limitation of Liability

To the maximum extent permitted by law, GalleryMint and Digital Art and Currency Group shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the App, including but not limited to loss of editions, wallet access, or cryptocurrency value.

13. Modifications

We reserve the right to modify these terms at any time. Continued use of the App after changes constitutes acceptance. The latest version will always be available at gallerymint.io/terms.

14. Artist Accounts

Artists who create accounts on GalleryMint agree to the following:

You are responsible for all content uploaded to your account. Illegal content will result in immediate account termination and may be reported to law enforcement.
GalleryMint reserves the right to disable, suspend, or terminate any artist account at any time, at our sole discretion, with or without cause or notice.
GalleryMint manages minting wallets on behalf of artists. Access to wallet seed phrases is not guaranteed and may be revoked.
Payout addresses and methods may be changed only through verified email confirmation. GalleryMint is not responsible for payouts sent to incorrect addresses provided by the artist.
Artists whose accounts are terminated forfeit any pending payouts unless otherwise agreed in writing.

15. Ambassador Program

Artists may be invited to participate in the GalleryMint Ambassador Program. Ambassadors agree to the following:

Ambassadors earn a commission on in-app purchases made by artists they refer, for a period of up to three (3) years from the date of the referred artist's registration.
Commission rates are set by GalleryMint and may be changed at any time with notice.
Ambassadors must not distribute referral codes that have already been redeemed. Repeated distribution of invalid or duplicate codes may result in demotion from the Ambassador Program and forfeiture of pending earnings.
GalleryMint reserves the right to remove any ambassador from the program at any time, at our sole discretion, with or without cause. Removal may include forfeiture of unpaid commission balances.
Ambassadors may not make promises or representations on behalf of GalleryMint beyond what is stated in official materials.
Referral code generation is limited. Ambassadors may not circumvent code limits through any means.

16. Termination

You may stop using the App at any time. We may suspend or terminate access to our services for violations of these terms, at our sole discretion, without prior notice. Artist and ambassador accounts may be disabled at any time. Your editions remain in your wallet regardless — they exist on the blockchain independently of our service.

17. Governing Law

These terms are governed by the laws of the State of Michigan, United States.
